NEW YORK--( EON: Enhanced Online News )--The Securities Arbitration Law Firm of Klayman & Toskes (“K&T”)( www.nasd-law.com ) announced today that it is investigating potential claims on behalf of investors who purchased MF Global (OTC: MFGLQ.PK) 6.250% Senior Notes due 2016 which were offered for sale in August of 2011. The offering consisted of $325 million in aggregate principal amount of 6.250% Senior Notes due 2016. Jefferies (NYSE: JEF) served as the sole book-running manager for the offering, with BofA Merrill Lynch (NYSE: BAC), BMO Capital Markets (NYSE: BMO), Lebenthal & Co., Commerzbank, Sandler O’Neill + Partners, Natixis and US Bancorp serving as co-managers of the offering.
The underwriters of a securities offering have an obligation to conduct adequate due diligence of the issuer during the underwriting process. Accordingly, K&T is focusing its investigation on what might have been known or what should have been known to the underwriters of the 6.250% Senior Notes at the time of the offering. Prospective investors rely on underwriters to pass on the soundness of the securities and the correctness of the registration statement and prospectus. Underwriters are familiar with the process of investigating the business condition of a company and possess extensive resources for doing so. Consistent with this important “gatekeeping” role in the offering process, Sections 11 and 12(a)(2) of the Securities Act of 1933 subject underwriters to potential liability for any material misrepresentations or omissions contained in a registration statement or prospectus.

For several years, the music of the US cultural underground was still the primary way I organized the world. Even my own field, writing and publishing, sort of fit itself in around musical styles, genres, and acts—distinctions I based on matters both aesthetic and political. I like independently produced music and media, sure, but I also feel it's important. Now: I don't play music—I never enjoyed it, to my parents' unending chagrin. But I had been making my own booklets—zines—since I was 11, originally a solitary act that later met up with the early-1990's music and self-publishing scene. So when I was invited to do a project with the first large group of young women to attend college together in the history of Cambodia, of course I planned to show them how to make zines. And of course, to explain what zines were and could do—to young people who are taught to write via rote memorization, and who live under an oppressive regime where journalists are regularly threatened, harmed, or worse for printing facts about the government—I used music. Luckily, one of my students came across the word, punk. She asked me what it was in my self-publishing class—but her only familiarity with US music at the time was Britney Spears. I started there....

Last week new Register of Copyright Maria Pallante issued the U.S. Copyright Office’s policy priorities for the next two years. Several of these priorities, as will be realized through published studies and legislative support, are relevant to the work of academic libraries, including orphan works status, mass digitization projects, and the § 108 exception for libraries.
Just a couple days after Pallante issued her report, the Copyright Office released one of the studies, referenced in the report, on mass book digitization . The study notes that mass digitization projects, whether involving a few titles or millions, implicates several sections of the existing copyright law. Acknowledging the expertise of entities such as Google and Internet Archive who have been actively involved in mass digitization and the diverse interests of the various stakeholders, the study suggests that federal cultural institutions involved in preservation, such as the Smithsonian and the National Archives, should also be consulted by Congress in determining the best framework for mass digitization projects. The study also notes issues to be addressed, including questions already raised in the Google Book Search case, and queries whether these issues are of sufficient national importance to warrant changes to the existing copyright law, namely sections 107 and 108 of the Copyright Act, which the study points out do not presently contemplate or adequately cover these types of projects.
